USER AGREEMENT AND DISCLAIMERS


BY COMPLETING THE REGISTRATION PROCESS AND USING THEGROUPHOME.ORG AND THE SERVICE YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS, INCLUDING ANY AMENDMENTS OR MODIFICATIONS WHICH MAY BE MADE FROM TIME TO TIME.

Welcome to THEGROUPHOME.org (the "Service"), a Service provided by WheresSpot, Inc. ("WheresSpot"). Your use of this website/Service and all information available through it are subject to the following conditions. By completing the registration process, and using TheGroupHome.org and the Service you agree to be bound by the following terms and conditions.

TheGroupHome (also called TheGroupHome.org) is primarily a discussion list service. Using email and the web, TheGroupHome provides the means to share email messages and web messages (posts) with the list members of TheGroupHome.org.

To become a member of TheGroupHome, a subscriber must be an active member of the web content production profession. Subscribers are required to provide information so that the moderators of the service can ascertain the subscribers connection to the business. Acceptance to TheGroupHome is at the sole discretion of the moderators.

Please note: Maintaining the confidentiality of any login ID’s and/or passwords is the sole responsibility of the subscriber.

1. MEMBER CONDUCT

The discussion list or mailing list Service is designed to promote the free-flowing exchange of ideas about a particular discussion list topic.

The opinions and views expressed by members of a discussion list do not reflect those of TheGroupHome. The contents of messages are based on data submitted by individual users, and TheGroupHome may not always review, check for accuracy, screen or edit messages posted in any discussion list. TheGroupHome reserves the right to terminate your account and your use of the Service, remove any message or mailing list from the Service, edit any message posted with the Service, at any time, without notice, in TheGroupHome's sole discretion.

You agree to abide by all applicable local, state, national and international laws and regulations when using the Service and that you are solely responsible for all acts or omissions that occur on any emails that you send to any of the TheGroupHome mailing lists. Note: TheGroupHome, Inc. will cooperate with law enforcement authorities and comply with any judicial order requesting or directing the disclosure of the identity of anyone using the site in violation of applicable federal, state, or local laws.

You agree to abide by the "rules" posted in the FAQ section of the website.

You may display and download information, data or materials (together "Materials") from this Site only for you own personal, non-commercial use

You acknowledge and agree that content, including but not limited to text, software, music, sound, photographs, graphics, video, page layout and design or other material contained in the Service or information presented through the Service by TheGroupHome, TheGroupHome's members or TheGroupHome's advertisers is protected by their copyrights, trademarks, service marks, patents, or other proprietary rights and laws. You agree that any information or material submitted by you to the site/list is original, accurate and current. You may not make any additions, modification, adjustments or alterations to the content nor may you tamper with, reproduce, distribute, store or sell any of the content or make them available to any third party or compile any internal database containing the content without the prior written consent of TheGroupHome and the owner of the Intellectual Property of the content.. You further agree not to remove or change any proprietary notice(s) contained on the content. You acknowledge and agree that TheGroupHome can display images, sound and text throughout the Service, including the insertion of sponsor messages into messages distributed on TheGroupHome mailing lists.

Submissions that are fraudulent, libelous, defamatory, obscene, pornographic, abusive, threatening, invasive of any third party's privacy or illegal is prohibited.

For your convenience, we offer links to sites that our users should find interesting and informative. However we cannot and do not review the content of all sites to which links are provided. As such, we are not responsible for the accuracy, legality, decency or intellectual property compliance of the information or materials contained on these sites. TheGroupHome does not endorse the content of any linked site. In addition, TheGroupHome does not warranty that any linked site will be virus free, or will otherwise adversely impact the user's computer. Connecting to any linked site is at the risk of the user.

Part of this Site may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that materials submitted for inclusion on the Site comply with international and national law. TheGroupHome is not responsible for any error or inaccuracy in any advertising materials.

2. TERMINATION

Any misuse of the Service, as determined solely by TheGroupHome, will cause termination of your membership/subscription and your removal from any or all discussion lists.

Misuse includes:

i. Use of the service for illegal purposes or for posting material that is unlawful, harassing, abusive, threatening, harmful, vulgar, obscene, tortuous, libelous, invasive of another's privacy, or otherwise objectionable, including but not limited to material that contains blatant expressions of bigotry, prejudice, racism, hatred, or profanity, or that promotes or provides instructional information about illegal activities or promotes physical harm or injury against any group or individual.

ii. Interfering with or disrupting the Service -- or servers, computer systems, or networks connected to the Service -- or interfering with another user's use and enjoyment of the Service, including but not limited to (a) transmitting any material that contains viruses, trojan horses, worms, time bombs, cancelbots, or any other harmful or deleterious programs, or (b) attempting to gain unauthorized access to the Service, other's accounts on the Service, or private mailing lists on the Service through password mining or any other means;

iii. Harvesting or otherwise collecting information about others, including e-mail addresses, without their consent;

iv. Providing false information on your registration form, or attempting to mislead others as to the identity of the sender or the origin of a message; or,

v. Distributing content that consists of hyperlinks to sites that contain content not allowed on the Service.

vi. Breaking any the rules posted in the FAQ section of the website.

3. RULES AND FAQ's

From time to time the moderators of the Service will post new rules and FAQ on the website. You agree to periodically check the rules and FAQ and be bound by these terms, however modified.

4. NO SPAM

TheGroupHome will immediately terminate any list member that it believes, in its sole discretion, is using the list for transmitting any junk mail, spam, chain letters, or other unsolicited bulk e-mail, commercial or otherwise.

5. INDEMNIFICATION

You hereby undertake fully and effectively to indemnify and keep indemnified, defend and hold harmless TheGroupHome and WheresSpot, Inc, its subsidiaries, affiliates, officers, and employees at all times against all actions, proceedings, costs, claims, damages, demands, liabilities and expenses whatsoever (including legal and other fees and disbursements) sustained, incurred or paid by TheGroupHome directly or indirectly in respect of any access to and/or use by you of this Site and Services contained therein, or in respect of any breach by you of any of the provisions of this agreement.

6. MODIFICATIONS TO TERMS OF USE OR TO THE SERVICE

TheGroupHome reserves the right to change the Terms of Use at any time without notice. TheGroupHome also reserves the right to modify or discontinue the Service, temporarily or permanently, with or without notice to you. You agree that TheGroupHome shall not be liable to you or any third party for any modification to or discontinuance of the Service.

7. YOUR PROPRIETARY RIGHTS

You agree that upon posting any material on the Service, you grant TheGroupHome, and its successors and assigns, a non-exclusive, worldwide, royalty free, perpetual, non-revocable license under your copyrights or other intellectual property rights, if any, in such material, to use, distribute, display, reproduce, and create derivative works from such material in any and all media, in any manner, in whole or part, without any duty to account to you. You also grant TheGroupHome the right to authorize the downloading and printing in whole or in part of any material that you have posted to a group on the Service, by endusers for their personal use.

8. DISCLAIMER OF WARRANTIES

The Site and the Materials are provided on an "as is" and "as available" basis and TheGroupHome is not responsible for the content of messages distributed through mailing lists. TheGroupHome provides no warranties, or conditions implied or express, in respect of any aspect of this Site, including the accuracy, timeliness, performance, fitness or completeness of any information or data, nor does it warrant that access to the Site will be uninterrupted, timely, secure, or error free. TheGroupHome is not responsible for any errors or omissions, or for the results obtained from the use of this information. In particular, the information herein does not contain any form of advice, recommendation or arrangement and is not intended to be relied upon by users in making (or refraining from making) any specific investments or other decisions. You expressly agree that use of the service is at your sole risk and you accept full responsibility for your use of this Site. TheGroupHome reserves the right to make changes to the Site at any time and without notice. Although we take reasonable steps to prevent the introduction of viruses, worms, "Trojan horses" or other destructive materials to this Site, we do not guarantee or warrant the information or materials that may be downloaded from the Site do not contain such destructive features. We are not liable for any damages or harm attributable to such features. TheGroupHome does not control in any respect any information, products or services offered by third parties on the Service.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, under no circumstances, including, but not limited to, negligence or any threatening defamatory, obscene offensive or illegal conduct of any other party or any infringement of another's rights, shall TheGroupHome be liable for any direct, indirect, incidental, special or consequential damages resulting from the use or the inability to use the Service, or messages received or transactions entered into through or from the Service or from unauthorized access to or alterations of your transmissions or data, including but not limited to, damages for loss of profits, use, data, or other intangibles, even if TheGroupHome has been advised of the possibility of such damages.

10. MISCELLANEOUS

The Terms of Use and the relationship between you and TheGroupHome shall be governed by and construed in accordance with the laws of the State of New York and the United States without regard to conflict of law provisions.

The failure of TheGroupHome to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid or contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the parties' intentions, and the other provisions of the Terms of Use shall remain in full force and effect.

11. NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT

TheGroupHome respects the intellectual property of others and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide TheGroupHomes' Copyright Agent with the following information:

(a) an electronic or physical signature of the person authorized to act on behalf of the copyright owner whose work you claim has been infringed;

(b) a description of the work you claim has been infringed;

(c) identification of the work you claim infringes the copyrighted work and a description of where it is located on [Company's] site;

(d) your address, telephone number and email address;

(e) a statement by you that you have a good faith belief that the infringing use is not authorized by the copyright owner, the copyright owner's agent or by law;

(f) a statement by you, under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
